Silverleaf Timeshare to Merge and Become Privately Held Company

Silverleaf's Fox River Resort timeshare resales.Silverleaf Resorts announced last week that its shareholders have approved a merger with Resort Merger Sub Inc., which is an affiliate of Cerberus Capital Management LP. The merger is expected to close this week. Once the merger is complete, Silverleaf will become a private company, wholly owned by SL Resort Holdings Inc., an affiliate of Cerberus, and its common stock will no longer be traded on NASDAQ.

Silverleaf timeshare owners should not anticipate any interruptions in services because of these changes.

Investigation of Silverleaf Timeshare Resort’s Possible Shareholder Violation

Goldfarb Branham LLP, is investigating the possibility that the Board of Directors of Silverleaf Resorts, Inc (Silverleaf timeshares) violated shareholder protection laws in connection with the timeshare company’s buyout offer by SL Resort Holdings.

Noting that the buyout price called for $2.50 per share, securities lawyer Hamilton Lindley has said, “Silverleaf’s book value was $5.47 for the most recent quarter and at least one analyst set a price target of $5.00 per share. Our potential class action lawsuit seeks to ensure that the Silverleaf Board of Directors maximizes value for investors in this buyout.”

Additionally, Bull & Lifshitz, LLP has announced its investigation into these possible breaches of fiduciary duty in connection with the proposed acquisition of Silverleaf Resorts, Inc.

Silverleaf Timeshare Loses Buildings to Fire in Lee, MA

A fire this past week at the Oak ‘n Spruce Resort in Lee, Massachusetts destroyed unoccupied buildings that reportedly included approximately 10 timeshare units. Early reports say the damage was to Forest Hall, others said Tanglewood Hall, but in a telephone call to the Oak ‘n Spruce Resort, we were told simply that the damage was to “old buildings, not timeshares,” implying that the buildings involved were either not timeshare units or were no longer in use as timeshare units.

Firefighters from several nearby towns responded to the fire. At least one building was already engulfed in flames at the time firefighters arrived, reportedly sometime around 6:30AM on Monday. Some Oak ‘n Spruce timeshare owners and guests say they smelled smoke as early as 5AM.

Although there were timeshare owners staying in other buildings at the Oak ‘n Spruce Resort, the two buildings destroyed were unoccupied at the time of the fire and no guest were relocated from the resort. Only one fire hydrant serves the area, which forced firefighters to use tanker trucks to haul water from a nearby lake. One building collapsed during the fire while a second building sustained severe water damage as firefighters were said to have fought the blaze for several hours.

While the cause of the fire is being investigated, there is no reason to suspect foul play at this time. The Berkshire Eagle says, “The extent of the damage has yet to be fully assessed. But the building is assessed for tax purposes at $277,800. The entire resort is valued at $24.1 million by the Lee Board of Assessors.”

The Oak ‘n Spruce Resort is part of the Silverleaf Resort family which is currently in the process of being acquired by Cerberus.

Silverleaf Timeshare Resorts Announces Changes on its Board of Directors

Silverleaf timeshare, a family-favorite timeshare resort with more than a dozen properties, announced last week that Michael A. Jenkins will rejoin its Board of Directors to fill a vacancy created by the resignation of Janet Whitmore.

Jenkins, who is the President of Leisure and Recreation Concepts, Inc., served as a member of the Silverleaf timeshare Board of Directors from 1997 to 2002. The Board of Directors has also designated Herbert B. Hirsch, already a Silverleaf Timeshare Board Member, as the audit committee financial expert.

The first seven Silverleaf timeshare resort properties were Texas timeshares and Missouri timeshares, opened in 1989. Then in 1997, the company went public; that same year it opened Timber Creek Resort to serve the St. Louis, Missouri market and Fox River Resort to serve vacationers from the Chicago, Illinois area.

Silverleaf Timeshare’s Expansion Takes New Direction

Silverleaf timeshare resort in the Wisconsin Dells is making adjustments to their expansion plans.

Silverleaf timeshare in the Wisconsin Dells is expanding in a new direction…literally. After approved plans fell through for Silverleaf timeshare to buy the former Artist’s Glen property as well as another adjacent property, the timeshare resort company then asked the Wisconsin Dells Plan Commission for approval to expand on property already purchased from private individuals.

According to reports in WiscNews.com, attorney Nancy Leary Haggerty of Michael Best & Friedrich, a Milwaukee law firm that represents Silverleaf timeshare, said that Silverleaf timeshare had asked the city to annex several properties and its developer’s agreement was contingent on purchasing those property (properties). Although the option to purchase the originally targeted properties has expired, Haggerty explained, “Silverleaf is still going forward…”

Fewer Timeshare Units in the New Silverleaf Timeshare Plan

Silverleaf timeshare’s new plan will have fewer timeshare units, but the design of the resort will remain the same. Instead of the 616 timeshare units proposed last year, the new Silverleaf timeshare expansion will have 448 timeshare units. The new layout will put parts of the Silverleaf timeshare resort on each side of the highway.

The split plan of the property will create a situation where timeshare owners may need to cross River Road. Safety issues under consideration include building a tunnel or walking bridge for crossing the highway or reducing the speed limit in the area. However, the local police chief points out that with a current speed limit of 25 mph, it is unlikely speeds will be further reduced.

In March, the Wisconsin Dells Plan Commission will meet to consider permits for Silverleaf timeshare resort regarding building heights.

Silverleaf Timeshare Expanding in Dallas

Silverleaf Resorts timeshare has opened the “Beach Club” timeshare in Flint, Texas. So far, 16 timeshare units are complete of the 144 timeshare units planned for the resort. The Beach Club is a section of The Village Resort timeshare and will be sold as product upgrade for current owners of Silverleaf timeshare.

The timeshare resort is being constructed near Tyler on Lake Palestine, and when complete, will include a pool, children’s water play area, and access to the beach for sunbathing and beach-related activities.

Wellington Financial, is the timeshare lending correspondent for Liberty Bank, the Connecticut-based lender to the Silverleaf project. The deal provides for $37.5 million in receivables financing for Silverleaf timeshares to build the Beach Club Resort.

Silverleaf timeshare has been in operation nearly 20 years and offers drive-to resort locations, primarily in the central part of the US, with six resorts already in Texas. In addition to the Silverleaf Villages timeshare, Flint, Texas is also home to the Silverleaf Lake O’ the Woods timeshares.

Silverleaf Timeshare Resorts Expanding in Colorado

The Texas based timeshare company, Silverleaf Resorts, has announced expansion plans in Colorado with the purchase of over 15 acres of land in Grand County, Colorado.

According to information released by Silverleaf Timeshare Resorts, the company plans to build 136 vacation interval units, which will be within two miles of Silverleaf’s 64-room Pinnacle Lodge hotel in Fraser, Colorado. The area is also within a short drive of the ski resort areas in Mary Jane and Winter Park.

Yahoo Finance quoted Sharon K. Brayfield, president of Silverleaf timeshare resorts as saying, “With world-class skiing in the winter and plenty of outdoor activities such as golf, hiking and fishing in the summer, we are confident that our members will be able to take full advantage of the Winter Park properties throughout the entire year.”

The purchase price of the property is reportedly $4.6 million.

Business Looks Good for Silverleaf Timeshares

Earlier this month, Silverleaf Timeshare Resort increased their fiscal outlook for 2007. According to revised projections, Silverleaf timeshares expect 2007’s profit to range between $27.5 million and $28.5 million. Silverleaf timeshares had previously forecasted a profit of $25.5 million.

Despite all the bad weather in recent weeks, summer is closer than you think and the sun will soon be shining on the many beautiful vacation sites in New England.
